Terms of Service
IdealistSpace, Inc. — Last updated: September 1, 2026
These terms are an agreement between you and IdealistSpace, Inc., a California corporation ("IdealistSpace," "we," "us"). They govern your use of our websites, our applications, and our hosted online services (together, the "Services").
By using the Services, you agree to these terms. If you don't agree, don't use them. Where a product publishes its own terms, those govern that product and these fill in the gaps. Applications distributed through an app store are also subject to that store's terms.
Who may use the Services
You must be able to form a binding contract to use the Services. If you're using them on behalf of a school, district, company, or other organization, you represent that you're authorized to bind that organization, and "you" means that organization.
Students may use the Services under the direction of their school or teacher. In that case the school accepts these terms on the students' behalf and is responsible for obtaining any consents required by law.
Your account
You're responsible for keeping your credentials secure and for everything that happens under your account. Tell us promptly at hi@idealistspace.com if you suspect unauthorized access. Provide accurate information, and keep it current.
Your content
You keep ownership of everything you create, upload, or store in the Services. We claim no ownership over it.
You grant us a limited, non-exclusive license to host, store, transmit, back up, and display your content solely to operate and support the Services for you. That license ends when you delete the content or close your account, subject to normal backup cycles.
You are responsible for your content, including having the rights to it and any consents needed for people who appear in it.
Acceptable use
Don't use the Services to:
- Break the law, or infringe someone else's rights.
- Upload malware, or attempt to breach, probe, or disrupt our systems or other users' accounts.
- Harass, threaten, or endanger anyone — this matters especially in shared and classroom spaces.
- Post content that is unlawful, or that is harmful to minors.
- Scrape, resell, or redistribute the Services, or use them to build a competing product.
- Circumvent usage limits, storage limits, or access controls.
We may suspend or terminate accounts that violate these rules. Where the situation allows, we'll tell you first.
Paid plans
Some Services are offered on paid plans. Prices and plan limits are shown at the point of purchase.
- Subscriptions renew automatically for the same term until you cancel.
- You can cancel at any time; cancellation takes effect at the end of the current billing period.
- Fees are non-refundable except where required by law, or where we decide otherwise in our discretion.
- Purchases made through an app store are billed and refunded by that store under its terms.
- We may change prices with at least 30 days' notice before your next renewal.
- Free plans may have storage, retention, and feature limits, and those limits may change.
Availability
We work to keep the Services running, but we provide them without an uptime guarantee unless we've signed a separate written agreement with you. We may modify, suspend, or discontinue features. If we discontinue a hosted service entirely, we'll give you reasonable notice and a way to export your data.
Termination
You can stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these terms, if required by law, or if your use creates risk for us or other users. On termination, your right to use the Services ends; the sections that by their nature should survive — ownership, disclaimers, limits of liability, and governing law — do survive.
Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that they will meet your requirements.
Keep your own backups of anything you can't afford to lose.
Limitation of liability
To the fullest extent permitted by law, IdealistSpace will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Services is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions don't allow certain limitations; in those places, these limits apply only to the extent permitted.
Indemnity
You'll defend and indemnify IdealistSpace against third-party claims arising from your content or your use of the Services in violation of these terms or applicable law. This doesn't apply to public-sector customers where the law prohibits it.
Privacy
Our handling of personal information is described in our Privacy Policy, which is part of these terms.
Changes to these terms
We may update these terms. When a change is material, we'll update the date above and, for hosted services, notify account holders by email. Continued use after the change takes effect means you accept the new terms.
Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Los Angeles County, California, and you and we consent to their jurisdiction. Nothing here prevents either of us from seeking injunctive relief, or from bringing a claim in small claims court.
